BannerWomen Network Agreement
Introduction
This Agreement is a contract between you and
WWWomen. The contract also incorporates all of the information contained in
the Guidelines section.
The BannerWomen Alliance can only accept new Affiliates with whom we have an
email on file that states that proposed Affiliate has read, understood, and
agrees to abide by the Agreement and Guidelines. By submitting this email
acknowledgment, the member is also attesting to the validity of the
email acknowledgment and its value as a legally binding method of
authentification.
Terms used are as follows:
YOU: The Affiliate, BannerWomen Network Affiliate, you, your, Member,
Affiliate, web site owner.
Eligibility is straightforward. You must be at least 18 years old and must
own or have the rights over the pages you are signing up in the BannerWomen
network. By having rights we mean that you must be the person who decides
whether or not you can and will have advertising on the pages signed up. You
are also the individual able to receive commission checks.
In addition, you must make sure that, if you are working with a third party
such as a University, that such a third party authorizes or allows this type
of use. We will not assume any liability incurred by such conflicts with
third parties in relation to this issue.
We reserve the right to reject admission to the BannerWomen Network to any
web page you propose to include, or have included, in your BannerWomen
Account. We will let you know if this occurs via e-mail. By accepting this
agreement now you do so for all subsequent changes made.
The BannerWomen Network does not allow sites to place the HTML code we give
to them on any other web page other than the one(s) they have signed up for.
If you do place this code on unauthorized pages we will revoke your Affiliate
ID and BannerWomen Account. Sites who violate the network in this manner
will also not be paid any moneys due. This is being done to prevent sites
from abusing the system and to keep it fair and effective for other
affiliates and for our advertisers.
Members are allowed to operate with only one affiliate ID number at a time
unless the BannerWomen Network has expressly allowed you to operate with
more than one. If you are operating with two ID numbers without this
authorization the Network will revoke your Affiliate ID and BannerWomen
Profile. Sites who violate the network in this manner will also not be paid
any moneys due.

To participate in the Banner Women Network, your Banner Women Pages cannot
display any paid advertising banner or logo other than the banner supplied
by the BannerWomen Network, within the same "screen shot" (defined as screen
area viewed without any scrolling activity on a fully maximized browser
screen on an average monitor screen size). All BannerWomen banners must be
placed within the first top "screen shot" viewing area. This is referred
to as "above the fold". No scrolling should be required to see the entire
banner. The uppermost viewable area within a browser window consists of
approximately 608x320 pixels. Website owners familiar with the advertising
standards for online media proposed by CASIE should note that "above the
fold" adheres to the dimensions of 19x10 units of 32x32 pixels.
Again, this is required in order to maximize the effectiveness of the program and thus the
success and effectiveness for all Affiliate Members and Sponsors, including
your own banner. We retain the right to the content of the banners displayed
on your BannerWomen pages. We retain the right to exclude, temporarily or
permanently, any pages from participating in the BannerWomen Network that
violates or does not meet the standards in our
Guidelines.

content that is acceptable and related information.
The BannerWomen Network has the final right to approve or refuse any and all
pages submitted to the Network. If a content violation is discovered we
reserve the right to remove that page from the Network.
WWWomen does not take responsibility for any issues related to your
copyrights, trademarks or any other issues relating to property rights on
your site. If an advertiser has an issue with content on your site, legal or
otherwise, that is between the advertiser and you, the Affiliate.
After you place the banner code we provide on your BannerWomen Page(s), we
will begin to deliver banners to your page and begin to deliver your banner
to other pages around the Network. The system used to calculate your barter
credits and commission amounts will be the BannerWomen network system. The
system will be the source in case of disputes regarding banner Impressions,
Click-Throughs or Inquiries. Information from BannerWomen's system used to
resolve such disputes will be considered final.
Payments will be made on the 15th of the month occurring after BannerWomen
has received payment from client for those members who accrued amount
of commissions exceed $50.
WWWomen may change the terms of the payment and will give all Network sites
30 days notice of such changes via e-mail.
Affiliates found to have falsely inflated impressions, click-throughs and/or
inquires will be removed from the network and will forfeit any moneys due.
Partial Months: BannerWomen will pay out for
sites in the program for less than a month if they joined the program
mid-month. If sites quit the program or take any of their registered page(s)
down during a month they will forfeit payment owed to them for that month.
If sites are asked to leave the program by BannerWomen (or WWWomen) but have
not violated any of the terms of this agreement they will be paid for the
moneys that have accrued on months for their registered page(s) up to that
point and including partial months. This may occur for sites which appeared
to be a good match for the network, but consistent poor page performance
would indicate the page(s) were not good candidate submission(s) for a
female demographic after all.
If we make changes to the Agreement and Guidelines and you decide not to
continue, if you give us 5 days notice that you wish to terminate your
participation, you will receive payment for the partial month.
Taxes: WWWomen will send a 1099 form to any
affiliate who receives $600 or more during the year. Affiliates are required
to report this money on their taxes.
We may be required to withhold 30% of commissions for affiliates located
outside the U.S. for tax purposes.
We are both operating independently. In performing the obligations contained
in this Agreement, we and you each have exclusive control over the means,
methods and details of meeting the respective obligations. We and you are,
at all times, acting independently and not as an employee or agent of the
other.
Proprietary Rights. All proprietary rights,
including but not limited to, trademarks and service marks and rights
relating to BannerWomen, WWWomen and Sponsors are and will continue to be
the sole property of us or our Sponsors.
Liabilities & Indemnification. WWWomen will not
be responsible for any claims or liabilities arising from your signing of
this agreement and your receipt of commissions. You are responsible for
abiding by the laws in your city, county, state and country or, if involved
with a third party, are solely responsible for arrangements, commitments or
obligations made with or to them.
We will not acquire ownership of any of your properties and, in turn, you
will not acquire ownership of any of our, or our sponsor's properties.
You will indemnify us for any suit or claim alleging that association with
the BannerWomen network to any degree constituted an infringement of any
proprietary rights. In turn, WWWomen will indemnify you for any suit or
claim alleging that our association with you infringed upon any proprietary
rights, provided that you have not breached the terms of this agreement or of
the Guidelines.
You hereby agree to indemnify and hold harmless WWWomen if you have breached
this contract or the Guidelines. Indemnified parties will be reimbursed for
all liabilities. The party applying for reimbursement must provide detailed
information on specific costs to the indemnifying party.
If BannerWomen or WWWomen is sold or moved to another entity, rights to this
program may be transferred to a new party. We require re-registration of an
Affiliate's registered page(s) if it has been assigned new ownership.
You acknowledge that this is a non-exclusive agreement for both you and
WWWomen. WWWomen can add other members and you can participate in other
programs or sell banners yourself. This is subject to the
Guidelines requiring that the BannerWomen banner be placed in the first
screenshot of the page.
This agreement shall be effective once your BannerWomen Account has been
accepted. We retain the right to terminate this agreement at any time via
e-mail. You may terminate this agreement with 5 days notice to us by e-mail.
BannerWomen must have an email acknowledgment on file for each registered
Affiliate that they have read, understood, and agree to abide by the terms
of this Agreement and Guidelines. You can email your
statement of acknowledgment by including your real name, real email address
(the name and email that will match the registered Affiliate information),
and the sentence:
BannerWomen will delay any proposed Affiliate application until an email Acknowledgment is on file. You can send your email acknowledgment at any time during the application process.
